- Neither party shall be liable for any failure or delay in the performance of its obligations under this agreement to the extent caused by a Force Majeure Event. A "Force Majeure Event" includes, but is not limited to, acts of Nature (e.g., floods, earthquakes, pandemics), war, terrorism, strikes, government actions, or any other event beyond the reasonable control of the parties. The affected party must notify the other party promptly of the occurrence of such event and will be excused from performance during the duration of the event. If the Force Majeure Event continues for more than 30 days, either party may terminate this agreement without penalty.
